Terms of Service

These Terms of Service ("Terms") govern your use of the Codify Fleet platform at myfleets.eu (the "Service"), provided by CodifyAI S.R.L., Romanian company registration (CUI) 51174729 ("CodifyAI", "we"). By accessing or using the Service you agree to these Terms.

1. The Service

Codify Fleet is a software-as-a-service fleet-management platform providing GPS tracking, trip and route history, geofencing, driver and vehicle management, reporting, maintenance scheduling and related features. Features available to you depend on your subscription plan.

You agree not to misuse the Service, including not to: use it unlawfully; track individuals without a valid legal basis and required notices; attempt to gain unauthorised access; interfere with the platform's operation; or reverse-engineer it except as permitted by law.

4. Your data and privacy

Our handling of personal data is described in our Privacy Policy. Where we process personal data on your behalf, a Data Processing Agreement applies. You are responsible for ensuring you have a lawful basis to collect and process the location and driver data you put into the Service, and for informing affected drivers/employees as required by data-protection and employment law.

5. Subscriptions and fees

Paid plans are billed according to the plan you select. Fees, billing cycle and any taxes apply as stated at purchase. Unless stated otherwise, fees are non-refundable for periods already started.

6. Availability

We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. We may perform maintenance and may modify or discontinue features with reasonable notice.

7. Intellectual property

The Service, its software and branding are owned by CodifyAI or its licensors. You retain ownership of the data you upload. You grant us the limited rights needed to operate and provide the Service to you.

8. Liability

To the maximum extent permitted by law, the Service is provided "as is". CodifyAI is not liable for indirect or consequential damages. Nothing in these Terms excludes liability that cannot be excluded by law. Mandatory consumer-protection rights, where applicable, are unaffected.

9. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms. On termination, your data may be deleted after a reasonable retention period as described in the Privacy Policy.

10. Governing law

These Terms are governed by the laws of Romania, without prejudice to mandatory consumer-protection rules of your country of residence. Disputes are subject to the competent courts of Romania, unless mandatory law provides otherwise.

11. Changes

We may update these Terms. Continued use after changes take effect constitutes acceptance. The "Last updated" date reflects the current version.

12. Business customers (B2B) and right of withdrawal

Codify Fleet is a fleet-management service intended for businesses that operate vehicle fleets. Where you subscribe in the course of your trade, business or profession, you act as a business customer (B2B) and the statutory consumer right of withdrawal does not apply.

Subscriptions are not concluded through an automated online checkout: a plan is activated by us after a direct order or agreement. As no consumer distance contract is concluded through this interface, the online "withdrawal button" requirement under EU Directive 2023/2673 does not apply to this Service.

If, exceptionally, you contract as a consumer and a statutory 14-day right of withdrawal applies, you may withdraw within 14 days without giving a reason by contacting [email protected]. The right of withdrawal does not apply once a service has been fully performed after your express prior request and acknowledgement, or for the period of service already provided, which is charged pro-rata.
